By accessing or using Motoscope ("the Site"), operated by Motoscope LLC ("we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Site.

We reserve the right to modify these Terms at any time. Changes take effect upon posting to the Site. Your continued use of the Site after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

Motoscope is an online marketplace that aggregates and displays motorcycle listings sourced from participating dealers' inventory management systems. Our platform allows users to search, compare, and discover new and used motorcycles for sale across the United States.

Motoscope is a discovery and connection platform only. We do not buy, sell, broker, finance, or take title to any motorcycle listed on the Site. All transactions occur directly between users and dealers. Motoscope LLC is not a party to any transaction and accepts no liability for the outcome of any purchase, sale, or negotiation.

Our services include, but are not limited to: motorcycle listing search and browsing, market value estimation tools, dealer profiles and search, watchlist functionality, and user listing postings.

You must be at least 18 years of age to use the Site or create an account. By using the Site, you represent and warrant that you meet this age requirement.

If you are using the Site on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to such entity.

Some features of the Site require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in any activity we determine to be harmful to the Site, other users, or third parties.

Dealers who participate on Motoscope agree to additional terms set forth in the dealer agreement accepted during registration. Key obligations include:

Dealers are solely responsible for the accuracy, completeness, and legality of their inventory listings and any information provided through their dealer management system (DMS) integration. All vehicle descriptions, photographs, prices, and availability must be truthful and comply with applicable law, including the Federal Trade Commission's Used Car Rule.

Dealers must maintain an active, valid dealer license in each state where they operate. Motoscope reserves the right to remove any dealer or listing found to be in violation of applicable licensing requirements.

Dealers on paid subscription plans are subject to the billing terms, cancellation policies, and service level commitments outlined in their subscription agreement. Monthly fees are non-refundable except as expressly stated therein.

Dealers must not list motorcycles that are salvaged, flood-damaged, or have undisclosed liens without full and prominent disclosure as required by law.

Registered users may post listings for motorcycles they wish to sell ("User Listings"). By submitting a User Listing, you represent and warrant that: (a) you own or have authority to sell the vehicle described; (b) all information provided is accurate and not misleading; and (c) the listing complies with all applicable laws.

User Listings are subject to review and may be removed at our sole discretion for any reason, including suspected fraud, inaccurate information, or violation of these Terms.

You grant Motoscope a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute the content of your User Listing for the purpose of operating the Site.

You agree not to use the Site to:

• Post false, misleading, fraudulent, or deceptive listings or information
• Engage in price manipulation, bid manipulation, or other deceptive practices
• Scrape, crawl, or systematically extract data from the Site without written permission
• Use automated tools (bots, spiders, scrapers) to access or interact with the Site
• Attempt to gain unauthorized access to any portion of the Site or its infrastructure
• Transmit viruses, malware, or any other malicious code
• Harass, abuse, or harm other users or dealers
• Use the Site for any unlawful purpose or in violation of any applicable law or regulation
• Circumvent or disable any security features or access controls
• Resell, sublicense, or commercially exploit the Site's content or services without authorization

The Site and all of its contents, including but not limited to text, graphics, logos, icons, images, data compilations, and software, are the property of Motoscope LLC or its content suppliers and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may access and use the Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from the Site without our prior written consent.

Dealer inventory data and images displayed on the Site remain the property of the respective dealers and their DMS providers. Motoscope does not claim ownership over such third-party content.

The Site may contain links to third-party websites, including dealer websites. These links are provided for your convenience and do not constitute an endorsement by Motoscope of those sites or any products, services, or content offered through them.

Motoscope has no control over the content, privacy practices, or policies of third-party sites and accepts no responsibility for them. You access third-party sites at your own risk.

THE SITE AND ITS SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MOTOSCOPE LLC DOES NOT WARRANT THAT: (A) THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) LISTING INFORMATION, INCLUDING PRICING AND AVAILABILITY, IS ACCURATE OR CURRENT; OR (C) ANY DEFECTS IN THE SITE WILL BE CORRECTED.

MOTOSCOPE LLC IS NOT RESPONSIBLE FOR THE ACCURACY OR RELIABILITY OF ANY LISTING, THE CONDITION OR TITLE OF ANY VEHICLE, OR THE CONDUCT OF ANY USER OR DEALER. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SITE AND ANY TRANSACTIONS YOU ENTER INTO WITH DEALERS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MOTOSCOPE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED $100.

You agree to indemnify, defend, and hold harmless Motoscope LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit, post, or transmit through the Site.

These Terms are governed by and construed in accordance with the laws of the United States and the State of Indiana, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site shall first be subject to good-faith negotiation between the parties. If the parties are unable to resolve the dispute through negotiation, they agree to submit to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in the English language.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

If you believe that material on the Site infringes your copyright, please send a written notice to our designated agent with the following information: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

We reserve the right to suspend or terminate your access to the Site at any time, with or without cause, and with or without notice, effective immediately. Upon termination, your right to use the Site ceases immediately.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8 (Intellectual Property), 10 (Disclaimers and Limitation of Liability), 11 (Indemnification), and 12 (Governing Law).
